Any work requested outside the approved scope may require a written change order and may result in additional fees or revised timelines.

c. Client Responsibilities

You agree to:

Supply all required content and assets.

Respond promptly to requests for feedback.

Designate an authorized project contact.

Ensure all materials you provide do not infringe upon third-party rights.

Project delays caused by missing information or approvals may extend project timelines.

d. Revisions

4. Payment Terms

Payment Schedule

Late Payments

Late invoices may incur a fee of 1.5% per month (or the maximum permitted by law). We reserve the right to suspend work until outstanding balances are paid.

Refunds

Deposits are non-refundable unless otherwise agreed in writing.

5. Intellectual Property

Upon full payment:

Ownership of the final approved deliverables transfers to the client.

Bamboo Creative retains ownership of:

Internal frameworks

Templates

Methodologies

Source files unless specifically transferred

Preliminary concepts

Unused designs

Unless otherwise requested in writing, Bamboo Creative may display completed work in its portfolio.

6. Confidentiality

Both parties agree to keep confidential any proprietary or non-public information shared throughout the engagement.

This obligation survives termination of the agreement.

7. Warranties & Disclaimers

Bamboo Creative warrants that services will be performed professionally and in accordance with industry standards.

Except as expressly stated, all services are provided "AS IS" without warranties of any kind.

We do not guarantee:

Search engine rankings

Marketing performance

Lead volume

Sales results

Specific business outcomes

8. Limitation of Liability

To the fullest extent permitted by law, Bamboo Creative shall not be liable for:

Lost profits

Lost revenue

Lost business opportunities

Data loss

Indirect or consequential damages

Our maximum liability shall never exceed the amount paid to Bamboo Creative during the three (3) months immediately preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bamboo Creative, Inc., its employees, contractors, and affiliates from claims arising out of:

Your violation of these Terms

Content you provide

10. Termination

Either party may terminate a project by providing written notice.

Upon termination:

Outstanding invoices become immediately due.

Bamboo Creative will deliver completed work after final payment has been received.

We reserve the right to terminate services immediately for:

Non-payment

Abuse

Illegal conduct

Violation of these Terms
